HANMIPRINT.COM TERMS & CONDITIONS

These Terms & Conditions (“Terms”) govern all orders, transactions, products, and services provided by Ultra Affect, LLC, doing business as HanmiPrint.com (“HanmiPrint,” “we,” “us,” or “our”) to the purchaser (“Customer,” “Client,” “you,” or “your”).

By placing an order, submitting materials, making payment, approving work, or otherwise authorizing HanmiPrint to proceed, Customer accepts and agrees to these Terms.

If Customer acts on behalf of another person, company, or organization, Customer represents that Customer has authority to bind that person or entity to these Terms.

1. ORDER ACCEPTANCE AND AUTHORIZATION

Submission of an order constitutes Customer’s final approval of the order and authorization for HanmiPrint to process, produce, fulfill, and complete the order according to the materials, information, specifications, selections, and instructions supplied or approved by Customer (“Customer Materials”).

Unless HanmiPrint expressly requires additional approval, no further proof, confirmation, authorization, or notice is required before HanmiPrint may proceed.

HanmiPrint may accept, reject, suspend, hold, modify, or discontinue an order when HanmiPrint determines that doing so is reasonably necessary or appropriate.

2. FINAL SALE; NO CANCELLATION OR REFUND

ALL ORDERS ARE FINAL UPON SUBMISSION.

Except where expressly authorized by HanmiPrint or required by applicable law, an order may not be canceled, revoked, rescinded, changed, returned, or refunded by Customer after submission.

Customer acknowledges that orders are accepted for prompt processing and may enter HanmiPrint’s production and fulfillment systems without further notice. HanmiPrint’s internal processing, production, or fulfillment status does not create or determine a Customer cancellation or refund right.

Any request to cancel, stop, change, suspend, return, or otherwise alter an order after submission is a request for accommodation only and is subject to HanmiPrint’s approval.

A claimed error, defect, delay, dissatisfaction, dispute, production hold, shipping issue, or other problem does not automatically create a right to cancel an order or receive a refund.

Any refund, credit, cancellation, modification, or other exception authorized by HanmiPrint applies only to the particular transaction and does not waive these Terms or establish a right to similar treatment.

3. CUSTOMER MATERIALS AND RESPONSIBILITY

Customer is responsible for reviewing and approving all Customer Materials before submission.

Customer assumes responsibility for the accuracy, completeness, suitability, quality, legality, and production readiness of Customer Materials and for the selections and instructions associated with the order.

HanmiPrint may rely upon Customer Materials as submitted or approved.

HanmiPrint is not obligated to inspect, proofread, correct, improve, verify, or identify errors or potential problems in Customer Materials unless HanmiPrint expressly agrees to provide such service.

Any review, assistance, warning, correction, recommendation, or other involvement by HanmiPrint does not transfer responsibility for Customer Materials to HanmiPrint or create a continuing duty to identify other issues.

HanmiPrint’s failure to identify an issue before production does not make HanmiPrint responsible for an issue originating in or attributable to Customer Materials.

4. ARTWORK AND PRODUCTION HOLDS

HanmiPrint may hold or suspend an order whenever HanmiPrint determines that additional materials, information, payment, approval, correction, clarification, or other action is appropriate.

A hold or suspension does not constitute cancellation and does not create a Customer cancellation or refund right.

Customer remains responsible for providing materials or information reasonably required for completion of the order.

If an order cannot reasonably be completed, HanmiPrint may determine the appropriate disposition of the order and any amounts paid, subject to applicable law.

5. PROOFS AND APPROVALS

Where HanmiPrint specifically requires approval of a proof or other production representation, Customer is responsible for reviewing and approving it.

Customer approval authorizes HanmiPrint to proceed.

Proofs and electronic representations are approximations and do not constitute guarantees of every characteristic of the finished product.

Customer remains responsible for matters originating in Customer Materials notwithstanding any review, proof, or approval process unless HanmiPrint expressly accepts responsibility for a particular matter in writing.

6. PRODUCTION STANDARDS

Printing, manufacturing, finishing, and related services involve processes subject to reasonable commercial characteristics, tolerances, and variations.

Unless expressly agreed otherwise, HanmiPrint does not guarantee exact matching, absolute uniformity, or freedom from commercially reasonable variation.

HanmiPrint may determine the production processes, facilities, equipment, methods, materials, suppliers, subcontractors, and standards reasonably appropriate to fulfill an order.

Products that HanmiPrint determines materially conform to the applicable order and reasonable commercial production standards will be considered acceptable.

7. CLAIMS

Customer must inspect products promptly following receipt and notify HanmiPrint of any claimed problem within a reasonable period.

All claims are subject to review and verification by HanmiPrint.

Customer must provide information, evidence, samples, photographs, merchandise, packaging, cooperation, or other materials reasonably requested by HanmiPrint in connection with its investigation.

The existence of dissatisfaction, an alleged defect, or a Customer complaint does not itself establish that a product is defective or nonconforming.

In evaluating a claim, HanmiPrint may consider the applicable Customer Materials, order specifications, production records, manufacturing characteristics, commercially reasonable tolerances, physical samples, photographs, third-party production information, and any other information HanmiPrint reasonably considers relevant.

Subject to applicable law, HanmiPrint will determine whether the claimed condition constitutes a material production error attributable to HanmiPrint and whether the claim qualifies for corrective action under these Terms.

A condition originating in or materially attributable to Customer Materials, Customer selections, Customer instructions, Customer use or handling, commercially reasonable production variation, a third party, or circumstances outside HanmiPrint’s reasonable production responsibility is not a covered production error.

HanmiPrint’s failure to detect a Customer-originated issue before production does not convert that issue into a covered production error.

8. REMEDIES FOR ACCEPTED PRODUCTION CLAIMS

If HanmiPrint determines that a material production error attributable to HanmiPrint occurred, HanmiPrint will determine the appropriate corrective action.

Subject to these Terms and applicable law, HanmiPrint may correct, reproduce, reprint, or replace the affected product and may provide standard replacement shipping without additional charge.

CORRECTION, REPRINT, OR REPLACEMENT IS THE PRIMARY REMEDY FOR AN ACCEPTED PRODUCTION CLAIM.

An accepted production claim does not automatically entitle Customer to a refund, cancellation, credit, upgraded product, revised order, additional compensation, or any other remedy.

HanmiPrint may determine the scope of any corrective action based upon the nature and extent of the accepted claim.

HanmiPrint is not required to reproduce an order when HanmiPrint determines that reproduction using the same Customer Materials, specifications, or conditions would not reasonably correct the complained-of condition.

If HanmiPrint determines that another remedy is appropriate, HanmiPrint may provide such remedy in its discretion, subject to applicable law.

9. REPRINTS AND CHANGES

Unless otherwise authorized by HanmiPrint, corrective production will be based upon the Customer Materials and specifications applicable to the original order.

A claim or corrective reprint may not be used to obtain free changes, corrections, revisions, upgrades, new artwork, different specifications, or other modifications to the original order.

HanmiPrint may require revised Customer Materials or other changes where HanmiPrint determines they are necessary or appropriate to achieve an acceptable result. Work or changes not attributable to an accepted HanmiPrint production error may be subject to additional charges.

Acceptance of revised Customer Materials or provision of any accommodation does not constitute an admission that the original product was defective.

10. RETURNS

Customer-specific, custom, printed, produced, altered, or manufactured products are not returnable except as expressly authorized by HanmiPrint or required by applicable law.

HanmiPrint may determine whether a product is eligible for return and may establish reasonable conditions applicable to an authorized return.

Any authorized return may be subject to applicable costs, deductions, inspection, or other conditions.

11. PRODUCTION AND DELIVERY

Production, completion, shipment, and delivery times are estimates unless expressly guaranteed by HanmiPrint in writing.

HanmiPrint is not responsible for delays, interruptions, failures, or other circumstances outside its reasonable control.

Delay does not automatically create a cancellation, refund, credit, or other Customer remedy.

Customer is responsible for information and cooperation necessary for fulfillment and delivery.

12. PAYMENT

Customer agrees to pay all amounts authorized or otherwise legitimately due in connection with an order.

HanmiPrint may require payment before beginning or continuing work and may suspend performance where amounts legitimately due remain unpaid.

Additional work, corrections, modifications, services, upgrades, materials, shipping, or other Customer-authorized changes may result in additional charges.

13. PAYMENT DISPUTES

Customer agrees, to the extent permitted by applicable law and payment-network rules, to provide HanmiPrint a reasonable opportunity to investigate and address any alleged transaction, production, fulfillment, quality, or delivery issue.

A chargeback, payment dispute, payment reversal, or similar proceeding does not itself cancel the underlying transaction, establish a production defect or nonperformance, or extinguish an otherwise valid obligation.

HanmiPrint may contest any payment dispute and may provide transaction records and other relevant evidence to payment processors, financial institutions, payment networks, dispute administrators, carriers, governmental authorities, courts, arbitrators, or other appropriate parties as reasonably necessary and permitted by law.

Such evidence may include Customer Materials, orders, approvals, acceptance records, payment information, communications, production and fulfillment records, shipping and delivery information, claim records, and other relevant transaction information lawfully maintained by HanmiPrint.

Customer remains responsible for truthful representations concerning the transaction.

HanmiPrint reserves all lawful rights and remedies concerning fraudulent, abusive, knowingly false, or otherwise unlawful claims or payment disputes.

14. CUSTOMER-SERVICE ACCOMMODATIONS

HanmiPrint may provide assistance, corrections, discounts, reprints, replacements, credits, refunds, upgrades, revised production, or other accommodations beyond what these Terms require.

Any such accommodation is voluntary and does not constitute an admission of fault, defect, liability, or nonperformance.

An accommodation does not modify these Terms, establish a course of dealing, waive any right, or require similar treatment in another matter.

15. THIRD-PARTY PRODUCTION AND FULFILLMENT

HanmiPrint may use affiliates, contractors, manufacturers, suppliers, trade printers, finishers, fulfillment providers, carriers, and other third parties in connection with an order.

HanmiPrint retains discretion concerning production and fulfillment arrangements unless expressly agreed otherwise.

16. CUSTOMER CONTENT AND RIGHTS

Customer represents that Customer possesses all rights, permissions, licenses, and authority necessary for HanmiPrint to use, reproduce, manufacture, and otherwise process Customer Materials as required to fulfill the order.

HanmiPrint may refuse, suspend, or discontinue work that it reasonably believes violates law, third-party rights, these Terms, or HanmiPrint’s policies.

To the extent permitted by law, Customer agrees to indemnify and hold harmless HanmiPrint, Ultra Affect, LLC, and their representatives and production partners from third-party claims arising from Customer Materials, Customer instructions, or Customer’s violation of these Terms.

17. FILES, RECORDS, AND SAMPLES

Customer is responsible for maintaining copies of Customer Materials.

HanmiPrint has no obligation to permanently retain Customer files, production materials, samples, or other property unless expressly agreed or required by law.

HanmiPrint may retain transaction, production, communication, claim, and other records for legitimate business, quality-control, fraud-prevention, dispute-resolution, compliance, and legal purposes.

Unless otherwise agreed or prohibited by law, HanmiPrint may retain reasonable production samples and use completed work for portfolio, demonstration, or promotional purposes.

18. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, HanmiPrint’s liability arising from or relating to an order, product, service, or transaction will not exceed the amount paid to HanmiPrint for the portion of the transaction giving rise to the claim.

To the maximum extent permitted by applicable law, HanmiPrint will not be liable for indirect, incidental, consequential, special, exemplary, punitive, speculative, or third-party damages or losses.

HanmiPrint does not guarantee any particular commercial, advertising, marketing, financial, or other result from its products or services.

19. EVENTS BEYOND HANMIPRINT’S CONTROL

HanmiPrint is not responsible for delay, interruption, inability to perform, or other consequences resulting from events or circumstances beyond its reasonable control.

HanmiPrint may suspend, substitute, modify, reschedule, or otherwise reasonably adjust performance in response to such circumstances without creating an automatic Customer cancellation or refund right.

20. BILLING IDENTITY

Transactions may appear under HanmiPrint.com, HanmiPrint, Ultra Affect, LLC, or another billing descriptor associated with the transaction.

Customer should contact HanmiPrint concerning an unfamiliar billing descriptor before reporting an otherwise authorized transaction as unauthorized.

21. WAIVER AND SEVERABILITY

HanmiPrint’s failure to enforce any provision does not waive that provision or any other right.

Any exception, accommodation, refund, credit, reprint, replacement, or other resolution applies only to the matter for which it was provided unless HanmiPrint expressly agrees otherwise.

If any provision is determined to be invalid or unenforceable, it will be enforced to the maximum extent permitted by law, and the remaining provisions will continue in effect.

22. GOVERNING LAW AND DISPUTES

These Terms and transactions with HanmiPrint are governed by the laws of the State of Washington except where applicable law requires otherwise.

The parties will make a reasonable good-faith effort to resolve disputes directly before formal proceedings where practicable.

Any additional dispute-resolution, venue, arbitration, or other procedure validly agreed between the parties will apply according to its terms.

23. ENTIRE AGREEMENT

These Terms, together with the applicable order, Customer Materials, specifications, checkout disclosures, invoice, approvals, and any additional terms expressly accepted by HanmiPrint, constitute the agreement governing the transaction.

No prior transaction, accommodation, practice, representation, or course of dealing modifies these Terms unless expressly agreed by HanmiPrint.

24. CHANGES TO TERMS

HanmiPrint may revise these Terms from time to time.

Unless otherwise permitted or required by law, an order will be governed by the version applicable when the order was submitted.

Submission of a subsequent order constitutes acceptance of the Terms applicable to that transaction.

25. ELECTRONIC ACCEPTANCE AND RECORDS

Customer agrees that electronic acceptance, electronic communications, and electronic transaction records may evidence Customer’s authorization and agreement to these Terms to the extent permitted by applicable law.

HanmiPrint may maintain records reasonably related to Customer authorization, orders, Customer Materials, payment, production, fulfillment, communications, claims, and delivery.

26. CUSTOMER ACKNOWLEDGMENT

By submitting an order, Customer acknowledges and agrees that:

(a) the order and Customer Materials have been reviewed and approved by Customer;

(b) submission constitutes authorization for HanmiPrint to process and produce the order without further approval unless HanmiPrint expressly requires otherwise;

(c) the order is final upon submission and, except as expressly authorized by HanmiPrint or required by law, cannot be canceled, changed, returned, or refunded by Customer;

(d) Customer is responsible for Customer Materials, selections, specifications, and instructions;

(e) HanmiPrint is not obligated to discover or correct Customer-originated issues;

(f) a claimed defect or dissatisfaction does not itself establish a production error;

(g) claims are subject to HanmiPrint’s review and determination under these Terms;

(h) where HanmiPrint accepts responsibility for a material production error, correction, reprint, or replacement is the primary remedy and does not automatically create a right to a refund; and

(i) Customer has had an opportunity to review and agrees to be bound by these Terms.
